PLATFORM TERMS OF USE

These Platform Terms of Use (“Terms”) govern access to and use of the Nolita Rentals website, platform, applications, dashboards, portfolio pages, communications tools and related services made available through nolitarentals.com and associated Nolita Rentals services (together, the “Platform”).

Please read these Terms carefully before using the Platform.

By creating an account, purchasing a subscription, publishing a property, using a publisher portfolio, sending an enquiry, requesting a viewing, submitting a review, or otherwise using a feature that requires acceptance of these Terms, you agree to be bound by the version of these Terms then in force.

Nothing in these Terms limits any mandatory rights that cannot lawfully be excluded or restricted.

1. Who operates Nolita Rentals

In these Terms, “Nolita”, “Nolita Rentals”, “we”, “us” and “our” refer to the legal entity identified above.

2. What Nolita Rentals is

Nolita Rentals is an online property rental marketplace designed primarily for properties in Malta and Gozo.

The Platform may provide services relating to:

Residential Long-Term Rentals, Residential Short Lets, and Commercial Rentals.

Depending on the features available at a particular time, users may browse properties, create property listings, operate public Owner or Agent portfolios, save properties, communicate with publishers, submit enquiries, request property viewings, manage listing availability, submit reviews and reports, and purchase Nolita platform subscriptions.

Unless a particular service expressly states otherwise, Nolita provides the technology and marketplace through which users connect. Nolita is not automatically the owner, landlord, tenant, lessee, property purchaser, property agent acting for either party, guarantor, deposit holder, rent collector or party to a tenancy, licence or accommodation agreement between users.

The fact that a property, Owner, Agent or portfolio appears on Nolita does not by itself mean that Nolita owns, manages, recommends, guarantees or independently certifies that property or publisher.

3. Our current rental categories

Residential Long-Term

Residential Long-Term listings relate to properties offered for residential occupation for longer-term use.

Users remain responsible for ensuring that any resulting lease complies with applicable Maltese law, including any registration or other requirements that apply under the Private Residential Leases Act.

Nolita does not register a private residential lease with the Housing Authority unless we expressly introduce and identify a separate service that does so.

Residential Short Let

Short-let listings relate to tourist or short-term accommodation and are subject to additional legal and regulatory requirements.

Short-let publishers are responsible for maintaining all licences, registrations, authorisations and operational requirements applicable to their accommodation.

Malta’s current Tourism Accommodation Regulations expressly place short-let/self-catering premises within the MTA licensing regime, and the MTA states that operating a short let without prior MTA authorisation is prohibited. Malta Tourism Authority

Commercial Rentals

Commercial listings may include offices, shops, showrooms, restaurants or cafés, warehouses, industrial premises and other commercial property.

A listing’s commercial category, declared use, fit-out, equipment or other description does not guarantee that the premises are legally or practically suitable for a particular business.

Prospective occupiers must conduct their own due diligence and obtain any professional, planning, licensing or regulatory advice required for their intended use.

4. Accounts and eligibility

You must provide accurate, current and complete information when creating or maintaining an account.

You must not create an account using another person’s identity without lawful authority.

You are responsible for maintaining the security of your login credentials and for activity carried out through your account, except where applicable law provides otherwise.

You must notify us promptly if you reasonably believe that your account has been compromised or used without authorisation.

Where a user enters into a paid contract with Nolita as a consumer, the user must have the legal capacity required to enter into that contract.

We may require additional information or verification before permitting access to particular publishing, payment, compliance or safety-sensitive features.

5. User types

The Platform may support different user functions, including Clients, Property Owners and Property Agents.

A single person may hold more than one permitted role or entitlement where supported by the Platform.

Property Seekers / Clients

Clients may browse public property information and, depending on their account and subscription status, save properties, access eligible protected information, communicate with publishers, send enquiries and request viewings.

Property Owners

A Property Owner is a publisher advertising property that they own or are otherwise lawfully authorised to advertise as an Owner.

Owners may choose, where supported, to present their public portfolio as a Private Owner or Company Owner.

That choice affects public presentation only. It does not, by itself, verify a company, transfer property ownership or transform the Owner into a Property Agent.

Property Agents

A Property Agent is a professional property publisher using Nolita to advertise properties and operate an Agent portfolio.

Agents may work independently or may disclose an affiliation with an agency or other professional organisation.

An Agent’s subscription, profile creation or self-declared affiliation does not by itself constitute verification of any professional licence, registration or affiliation.

Agent listings are displayed as:

6. Publisher authority and responsibility

By submitting or publishing a property, an Owner or Agent represents that they have the legal right or appropriate authority to advertise the property and to provide the information, photographs and other material submitted.

Publishers must ensure that listing information remains accurate, current and not misleading.

This includes, where relevant:

property identity and type; rental price; mandatory charges; deposit information; location; availability; photographs; amenities and facilities; commercial-use information; short-let licensing information; and publisher identity.

Publishers must promptly correct inaccurate information and mark a property as rented, unavailable or paused when appropriate.

A publisher must not advertise a fictitious property, impersonate another publisher or deliberately advertise property that the publisher knows they have no authority to offer.

7. Listing review and publication

Creating or paying for an account does not guarantee that a listing will be published.

Listings may be subject to review before becoming publicly available.

A listing may have statuses including, as applicable:

Draft, Pending Review, Changes Requested, Published, Paused, Rented, Rejected, Compliance Action Required, Publicly Paused, Suspended or Archived.

We may request additional information or corrections before publication.

Approval of listing content does not mean that Nolita independently certifies the property’s ownership, planning status, structural condition, legal suitability, commercial viability, licence status or availability unless a specific verification label expressly states the limited matter that was actually checked.

8. Property availability

Nolita may display a Last Availability Confirmed indicator.

This indicates when the relevant publisher most recently confirmed that the property continued to be offered for the advertised availability date.

For example:

Availability confirmed by the Agent 3 days ago

This is informational only.

It does not mean that the property is guaranteed to remain available, that Nolita independently checked the property, or that a future available-from date has changed to immediate availability.

Clients should reconfirm availability with the relevant publisher before making commitments or arrangements.

9. Short-let licence and registration requirements

Short-let publishers must comply with all legal requirements applicable to their accommodation.

Where required by Nolita’s configured publication rules, a short-let publisher must provide information including the relevant:

MTA licence number and STR or other short-term rental registration number required by applicable rules.

These identifiers are separate and must not be treated as interchangeable.

Where applicable law requires a registration or licence identifier to appear publicly in advertisements, Nolita may display that information irrespective of ordinary Client Access restrictions.

Submission of a licence or registration number does not automatically mean it has been independently validated by Nolita.

We may use statuses such as:

Not Provided, Submitted, Pending Review, Validated, Revalidation Due, Could Not Be Validated, Expired, or Rejected after Review.

A temporary inability to validate information does not necessarily mean that a licence is invalid.

We may prevent publication, republication or continued public display of a short-let listing where required licensing or registration information is absent, expired, rejected after review, or otherwise fails an applicable mandatory publication requirement.

Such action will not automatically mark the property as Rented.

10. Short-let enquiries and bookings

Unless a property page expressly provides a Nolita-operated booking process governed by additional booking terms, a short-let enquiry through Nolita is an enquiry only.

It is not a confirmed accommodation booking.

Any booking or accommodation agreement concluded directly between a Client and a publisher outside a Nolita booking process is between those parties.

If Nolita later introduces direct on-platform short-let booking or payment functionality, separate or supplemental terms may apply before that functionality is activated.

11. Commercial property information

Commercial information may include floor area, frontage, access, parking, fit-out, extraction, ventilation, equipment, loading facilities, power information, intended or permitted use and other information supplied by the publisher.

Where a listing states:

Declared by publisher

the relevant information has been supplied by the publisher and should not be interpreted as independent confirmation by Nolita.

Where Nolita states:

Supporting document reviewed

this means only that the specified supporting document was reviewed to the extent described.

It does not mean that Nolita has determined that the premises are legally approved, technically suitable or commercially appropriate for the Client’s intended activity.

Clients remain responsible for obtaining their own advice and approvals.

12. Prices, charges and property payments

Publishers must disclose prices and mandatory property-related charges accurately.

Commercial and residential listings may display different pricing bases depending on the property type.

Where Nolita calculates a monthly equivalent from another pricing basis, the calculation is for comparison purposes and does not change the payment terms offered by the publisher.

Unless expressly stated otherwise, Nolita does not collect rent, property deposits, agency commissions or other property transaction money.

A Client should not send money merely because a property appears on Nolita.

Users should verify the recipient, property and contractual terms before making payments outside the Platform.

13. Client Access

Nolita may offer a Client Access subscription.

The current advertised price is:

€4.90/month

subject to the price and tax information shown to the user before checkout.

Client Access may enable features such as access to eligible direct publisher contact information, exact property addresses, enquiries and viewing requests.

Client Access is a platform subscription.

It does not include rent, property deposits, booking fees, agency commissions, Owner charges or other amounts relating to a property unless expressly stated.

Client Access does not guarantee that any particular property will remain available or that any publisher will accept a viewing, tenancy or booking request.

14. Owner and Agent subscriptions

The current advertised publishing plans are:

Property Owner — €9.90/month
Property Agent — €9.90/month

subject to the price and tax information displayed before checkout.

A publishing subscription may provide access to eligible listing-management and portfolio features.

Payment for a subscription does not automatically guarantee publication of every property.

A listing must continue to satisfy applicable publication, content, subscription and compliance requirements.

Listing allowances, where applicable, will be displayed through the relevant plan or account interface.

15. Subscription renewal and cancellation

Paid Nolita subscriptions may renew automatically on a recurring monthly basis until cancelled, where this is clearly disclosed before purchase.

The amount, billing frequency and applicable renewal terms shown at checkout form part of your subscription contract.

You may cancel through the available Membership & Billing functionality or other cancellation method provided by Nolita.

Unless otherwise required by law or expressly stated at checkout, cancellation normally prevents the next renewal while existing paid access continues until the end of the current paid period.

If payment fails, relevant paid features may be restricted after any applicable process described in the subscription information.

Nolita will not treat a checkout-return page alone as proof of payment. Paid access is granted only after the payment status is appropriately confirmed.

16. Consumer rights and withdrawal

If you purchase a Nolita subscription as a consumer, mandatory consumer rights applicable to distance contracts remain unaffected by these Terms.

Before a consumer becomes bound by a distance contract, Maltese consumer rules require specified information to be provided clearly, including information about the service, price, payment/performance arrangements and, where applicable, contract duration and termination. Legislation Malta

Where a statutory withdrawal period applies, you may have the right to withdraw within the legally applicable period.

Where you request immediate performance of a digital or service subscription during a withdrawal period, the consequences for that withdrawal right will be explained and any legally required express request or acknowledgement will be obtained separately.

Nothing in these Terms is intended to waive a consumer right that cannot lawfully be waived.

17. Property enquiries and viewing requests

A property enquiry does not reserve a property.

A viewing request does not become a confirmed appointment merely because it was submitted.

Viewing requests may progress through statuses such as:

Requested, Proposed New Time, Confirmed, Declined, Cancelled or Completed.

A viewing is confirmed only when the relevant authorised party accepts or confirms it through the applicable process.

Users remain responsible for attending viewings safely and for independently assessing the property.

18. Communications and email

Nolita may provide in-platform messaging and may send operational emails relating to accounts, properties, enquiries, viewings, subscriptions, moderation, support and other platform functions.

Operational Nolita Rentals email may be sent from:

Email is a supplementary communication channel.

A failure to deliver an email does not necessarily invalidate information correctly made available in the user’s account or Platform, subject to applicable law.

Incoming email replies may be connected to an existing Nolita conversation or support case where they can be matched reliably.

Unmatched correspondence may be retained for authorised administrative review.

19. Owner and Agent portfolios

Owners and Agents may have public portfolio pages.

Portfolio pages may include public profile information, listing counts, eligible published properties, service areas, specialties, reviews and other information that the user has chosen or is required to display publicly.

Users should understand that public portfolio information and QR-code links may be viewed and shared outside the immediate Nolita navigation flow.

A portfolio QR code must not be treated as a private-access mechanism.

Suspension of a publisher may result in temporary removal of the publisher’s profile and affected listings from public discovery while records and history are preserved.

20. Reviews

Nolita may allow Clients to review Owners or Agents where the Client meets applicable eligibility requirements.

We may require a genuine Nolita interaction before a review can be submitted.

Reviews must reflect the user’s genuine experience.

Users must not submit fake reviews, reviews about themselves, reviews created in exchange for undisclosed incentives, impersonation, harassment, threats, unlawful personal information or other prohibited content.

A negative review will not be removed merely because the reviewed publisher disagrees with it.

Reviews may be moderated or removed where they breach law or platform policy.

Users may report a review for moderation.

21. Acceptable use

You must not use Nolita to commit or facilitate fraud, phishing, impersonation, harassment, unlawful discrimination, intellectual-property infringement, malicious software distribution, unauthorised access, scraping prohibited by our technical or contractual controls, spam, manipulation of reviews or ratings, or attempts to bypass account, subscription, security or access controls.

You must not misuse exact property addresses, private contact details or other information obtained through Client Access.

You must not interfere with the proper operation, security or integrity of the Platform.

22. Content moderation and restrictions

We may take proportionate action where content or conduct appears to violate applicable law, these Terms or another applicable Nolita policy.

Actions may include requesting information, requesting changes, limiting distribution, pausing a listing, removing content, restricting functionality, suspending a profile or account, or terminating access where justified.

Where applicable, we may consider information from users, publishers, authorities, automated technical tools and human review.

Where required by law, we will provide information concerning significant restrictions, available reasons and applicable redress mechanisms.

Our moderation rules and procedures are intended to be applied in a diligent, objective and proportionate manner.

The EU Digital Services Act requires intermediary-service terms to explain the grounds and procedures used to restrict user content or service access and requires transparent application of those restrictions. EUR-Lex

23. Reporting illegal or problematic content

Users and third parties may use Nolita’s reporting mechanisms to report suspected unlawful content or ordinary listing problems.

A Listing Quality / Availability Report may concern matters such as an unavailable property, incorrect price, incorrect location or duplicate listing.

An Illegal Content Notice concerns content that the reporter reasonably believes is unlawful.

These workflows may be handled differently.

Submission of a report does not automatically mean that the reported content is unlawful or that the listing will immediately be removed.

We may investigate, request information, restrict content or take other appropriate action.

24. Intellectual property

The Nolita Rentals name, logo, interface, software, platform design and Nolita-created content are protected by applicable intellectual-property laws.

Except where permitted by law or expressly authorised by us, users may not copy, reproduce, distribute, modify or commercially exploit Nolita intellectual property.

Publishers remain responsible for ensuring that they own or have sufficient rights to use photographs, floor plans, descriptions, logos and other material they upload.

Uploading content grants Nolita the limited rights reasonably required to store, process, resize, display, distribute and otherwise use that content to operate and promote the relevant listing, portfolio and Platform.

This licence ends or is limited when the content is removed, subject to reasonable technical, legal, backup and historical requirements.

25. Privacy and data protection

Our handling of personal data is governed by the Nolita Rentals Privacy Policy.

That policy explains, among other matters, the identity of the data controller, categories of information processed, purposes and legal bases, recipients, retention, international transfers where applicable and user rights.

The GDPR requires data controllers to provide this information transparently and provides rights including access, rectification, erasure, restriction, objection and portability in applicable circumstances. EUR-Lex

Use of the Platform does not constitute consent to optional marketing or non-essential cookies.

Those matters are managed separately where consent is required.

26. Third-party services

Nolita may rely on third-party providers for services including payments, hosting, email, calendar integration, maps, analytics and other technical functions.

Use of certain third-party features may also be governed by the relevant provider’s terms.

We are not responsible for independent third-party services beyond responsibilities that applicable law places on Nolita.

Connecting a Google, Outlook or other external service is optional unless expressly stated.

Users may be able to disconnect such integrations through the relevant account settings or provider controls.

27. Account and listing suspension

We may suspend or restrict an account, portfolio or listing where reasonably necessary for reasons including security, fraud prevention, legal compliance, serious or repeated policy violations, expired or deficient required licensing information, unauthorised publishing or material risk to users or the Platform.

Where an Agent or Owner publisher is suspended, affected public listings may be removed from public discovery while underlying records remain preserved.

Suspension does not automatically mark a property Rented.

Where restrictions are removed, affected listings will only return to public discovery if they still satisfy all applicable publication requirements.

Resolving one restriction does not override another independent active restriction.

28. Termination by the user

You may stop using Nolita at any time.

Closing an account does not automatically cancel financial obligations already incurred, remove information that must legally be retained, erase communications already shared with another authorised participant, or eliminate records that Nolita is required or entitled to preserve for fraud, legal, accounting, dispute or security purposes.

Subscription cancellation is handled separately under the subscription provisions.

29. Service availability and changes

We may update, improve, replace or discontinue Platform features.

We do not guarantee that every function will be continuously available without interruption.

Maintenance, security events, provider outages and technical failures may temporarily affect the Platform.

Where a change materially affects a paid service, we will provide information or remedies where required by applicable law.

30. No guarantee of property transactions

Nolita does not guarantee:

that a Client will find a property; that an Owner or Agent will receive enquiries; that a viewing will be accepted; that parties will enter into a lease or booking; that a property will remain available; or that a transaction will complete successfully.

Publisher information may change.

Users should carry out appropriate checks before entering into property-related agreements.

31. Disclaimer concerning professional advice

Information provided on Nolita is intended to support property discovery and platform use.

Unless expressly stated otherwise, Nolita does not provide legal, tax, financial, planning, architectural, engineering or other regulated professional advice.

Users should obtain independent professional advice where appropriate.

32. Liability

Nothing in these Terms excludes or limits liability where doing so would be unlawful, including any liability or consumer right that cannot lawfully be excluded or restricted.

To the extent permitted by law, Nolita is not responsible for losses caused solely by inaccurate or unlawful information supplied by another user, independent agreements between users, external services outside Nolita’s control, or a user’s failure to undertake reasonable due diligence.

For users acting in the course of business, and to the extent permitted by applicable law, Nolita shall not be liable for indirect or consequential business losses such as loss of profit, revenue, opportunity or goodwill arising solely from use of the Platform.

Nothing in this section affects mandatory consumer protections.

33. Indemnity for business publishers

Where you use Nolita in the course of a business or professional activity, you are responsible for losses, claims or reasonable costs arising from your unlawful listing content, lack of authority to advertise, infringement of third-party rights, or material breach of these Terms, to the extent permitted by law and subject to any fault attributable to Nolita.

This provision does not apply so as to deprive consumers of mandatory statutory rights.

34. Changes to these Terms

We may update these Terms from time to time.

Each version will have a version identifier, publication date and effective date.

Where a new version is published before it becomes effective, Nolita may distinguish:

The previous effective Terms continue to govern until the replacement becomes effective.

Where a material change requires renewed acceptance under applicable law or the approved policy configuration, affected users will be asked to accept the relevant new version.

Optional marketing or cookie consent will not be bundled with acceptance of these Terms.

35. Complaints

Complaints about Nolita may be submitted through the Help & Contact Centre or at:

property@nolitaos.com

Where available, a complaint will receive a reference number and may be tracked through the relevant support workflow.

Nothing in our internal complaint process prevents a consumer from exercising any right to contact a competent consumer, regulatory or judicial authority.

36. Governing law and jurisdiction

These Terms and your relationship with Nolita are governed by the laws of Malta, subject to any mandatory law that applies to you.

If you are a consumer resident in the European Union or another jurisdiction providing mandatory consumer protections, nothing in this clause deprives you of protections or jurisdictional rights that cannot lawfully be waived.

Subject to such mandatory rights, disputes shall fall within the jurisdiction of the competent courts of Malta.

37. Severability

If any provision of these Terms is found to be unlawful, invalid or unenforceable, that provision shall be interpreted or limited to the minimum extent necessary where legally possible, and the remaining provisions will continue in effect.

38. No waiver

If Nolita does not immediately enforce a provision of these Terms, that does not necessarily constitute a waiver of the right to enforce that provision later.

39. Entire agreement

These Terms, together with any additional terms expressly applicable to a particular Nolita service and the policies incorporated by reference, form the agreement governing use of the Platform.

If a specific supplemental service term conflicts with these general Terms in relation to that service, the specific term will apply to the extent of that conflict, subject always to mandatory law.
